    you can only install PowerShell on XP / 2003 +
    (there is a hack for W2K but not supported.)

    you can use WMI to manage an NT server remote from Posh,
    but the WMI version/support of NT is not as good as e.g. XP
    you will miss a lot of the new classes

    It's simple:

    From a machine that has PowerShell installed:
    - copy "%ProgramFiles%\Windows PowerShell" directory
    - export reg key HKEY_LOCAL_MACHINE\SOFTWARE\Microsoft\PowerShell
    to the Windows 2000 machine.

    You can also use this technique to run PowerShell from a remote network
    location (or could during the first beta of this year).

    See the other responses - but the basic answer is 'no'.

    Upgrade to a more modern OS would be the best bet.
