Windows Vista Ultimate - Offline Files and iTunes creating permanentconflict

Apologies for the cross-posting, but this problem seems to touch on a
few different areas of Vista.

I have the exact same offline files setup for Vista now that I had for
XP before. Basically my entire "My Documents" folder is kept on a
NAS, and I use offline files to be able to use my files when I leave
the house.

However from the minute I first set everything up an offline files
conflict appeared with the iTunes Music Library.xml file kept in My
Documents\My Music\iTunes

Every time I sync it shows up as a conflict. When I tell Vista to
overwrite the file, it doesn't even disappear for a second out of my
conflict list - it just updates the time the file was updated and
leaves it in the list.

Closing iTunes before a sync doesn't help (I used to have to do this
for XP). Closing the iTunes helper doesn't help. Resetting offline
files doesn't help. Deleting that specific offline file and letting
it recreate it doesn't help.

Any suggestions as to what I can do from here?

I don't have a problem with Vista's offline files and the iTunes library,
and I use it on several PCs, so I don't think the conflict is a Vista issue.
In the past I have had an issue with one of iTunes itc files, ran a check
disk on the drive I was synchronizing with and the issue went away.
