what SOFTWARE qualifies for an "upgrade" to Vista?

I know my machine can handle it. My questions is what SOFTWARE
qualifies for the Vista upgrade. Tks.

Any previous version of Windows?

The Vista Upgrade packaging will tell you what Windows is required in order
to use the upgrade.

If you are asking, there is a good chance your hardware will not handle
Vista. Again, the box the the upgrade comes in will specify the necessary
hardware. You can visit microsoft.com and find out all of this stuff
directly from the horse's mouth ...

As mentioned before, you'll want to visit this site:

Or simply pay for the full retail version of Vista of your choosing and do a fresh install. But I'd caution you about one thing. You mentioned something about running ME. I doubt the hardware running ME is Vista compatible. That's my .02
