how does one upgrade ?

Assuming that your Vista Ultimate is NOT an OEM version, you should be able
to just put it in the slot and answer questions until it is installed. Make
sure you choose to do an "in-place" upgrade, preserving your config and
data.

Insert the Vista Ultimate DVD, and choose the upgrade option on the
Installation wizard.
