but - motherboard dead - cannot get exact rpelacement - will I be able to
install Vista (or just run from existing setup) with a new motherboard?

Yes, you can re-install the OS on a PC with a new motherboard but it won't activate. You'll have to call Microsoft and do activation over the phone, just tell them your Motherboard died and they're obligated to re-activate it for you. It's in the OEM EULA.

Re: OEM Software and new motherboard

Did you activate it? if so i think you can only do this twice with OEM
software

You can re-activate OEM software as many times as you like, but you will have to do it by phone, Especially if you change hardware.

I've upgraded the motherboard on PCs with XP before with out
reinstalling the OS. Upon boot-up the OS detects the new hardware and
reconfigures itself. No problem.

If you get a new motherboard with the same chipset, the changes Vista
would have to make would be minimal. You may not need to even
reactivate Vista. Besides the chipset there are other unique chips on
the motherboard. Amoung these are the sound codec, ethernet chip,
possible harddrive controller and possible firewire chip. I'm not
sure it changes in these would trigger Vista to have to reactivate.
