That would be when the power supply shorts out with a bang and destroys your
motherboard.

OK, so in this scenario, you would be able to reinstall an OEM copy of Vista
on a different pc, and still be within the oem guidelines?

Physically yes. According to the rules and regs (OEM EULA), likely not. That
is why the OEM versions of Windows are less expensive. They have
limitations.

have to be able to r e p l a c e a motherboard under warranty -- which
might be a few months, a year or longer -- and so under the OEM licence
would be allowed to

Yes! If an OEM manufacturer replaces the M/B with the exact same M/B, there
is no problem.
If an end user changes to another M/B, or moves the OEM O/S to another
computer - that's where problems come into play.

Choice of wording is going to be very important.
I wonder how MS will deal with the situation where they say that
because it is OEM you have to deal with the manufacturer of the PC but
the manufacturer's warranty has expired. Will MS say "Then pay the
manufacturer to replace the motherboard, or if necessary the PC" and
the user will reply that the MS OEM contract is only that the
manufacturer has to support the operating system ......

That could be a blessing ,and you could then do a fresh install of something
newer.
