Consider copying the entire DVD to the hard drive and then running setup
from the sources folder.
This thing can happen with some DVD drives with bad firmware.

that worked!! thanks.
however now, when the upgrading is in its final stage, the screen turns blue
with white text and says something about a memory dump and then the computer
resets and the operating system rolls back to XP Pro.

My guess is your memory might have a flaw that is now showing.
On Boot, hit F8 and Tab to the Memory checker and test the memory if you are
at that stage in the install.
or consider a separate memory checker
