Hello John,
Yes, you can inplace upgrade from Home Premium to Ultimate.
Remember to check the DVDs - Ultimate comes with both x86 (32bit) and x64
(64bit). If your Home Premium is 32 bit, then upgrade to the 32 bit
Ultimate.

where can I find how to do this: the man in the shop said just put the DVD
in: is this right? Will there be issues with activation etc

There should not be any activation issues as you have a new key. Run the
upgrade from the desktop of your installed system. Select upgrade.
