kesume, i appreciate the reply and understand the process. ofcourse i will be patient cuz i appreciate the very useful information you guys give me. one day i hope to be able to figure this stuff out on my own, but i am just not as knowledgeable with this as you guys are. thanks again!!

BSOD - Debugging a BSOD in Vista
BSOD with netio.sys or ndis.sys - Fix
I do know what you are going through as I had a BSOD problem and wound up having to do a complete factory restore. That was 3 days ago.
So this will get you started and our forum expert on BSOD will get back to you.

You have given me two dump reports. They are not in agreement. One idicates and unlikley driver the other indicates that it may be memory. There are also other likely causes that were suggested.
May I suggest the following.
Make a full memory test.
Download memtest86 and test RAM

Run for 8 passes
Ifpasses try a good stick in each slot for 3 passes
Iffails do the same for 8 passes.
It was also suggested that your Anti Virus may be the cause.
Uninstall your current Anti Virus andreplace with Microsoft Security Essentials.

You have several old drivers which must be updated

Now the subjective part, since you just reinstalled an old OS, it is my feeling that of all that possiblities, outdated drivers is the most likely suspect
Then the Anti Virus
and Finally memory.
After you have updated the drivers test the computer, if BSODs continue, follow the other suggestions. If the BSODs continue after that just post again.
