Let me understand something here. Task Manager under Physical Memory (MB), I have 41 free MB's. What is that telling me.

This is letting you know how much free memory you have left out of your Total memory that is not currently being reserved by the cache for programs and Superfetch. The Memory graph above this show you how much actual memory is being used.
