Vista Ultimate x64 won't shut down

Just built up a new box with:

Asus P6T Deluxe V2
Intel Core i7 920, Noctua cooler
Vista Ultimate x64 (fully patched, even tried a build with SP2 RC)
BFG 9600GT OC
3 x 2GB Mushkin DDR3
2 x 750Gb Seagate, RAID 1 (Boot, storage)
2 x 1TB WD, RAID 1 (Storage)
Etc....

Essentially, my machine won't shut down. When I try to shut down, the monitor goes black and the kb/mouse shut off, but the board stays lit, the drives keep spinning, and the fans keep running.....

I can put it to sleep and get the components to spin down and go into sleep mode, and it comes back up just fine....but, again, shut down does not work.

I've looked at the App & System logs and nothing jumps out....I've booted into safe mode and it won't shut down either....same behavior as above. I've tried doing a "clean boot" through 'msconfig' with only MS services enabled, with no luck.

It wasn't until I turned on boot logging that I saw a couple of things that bothered me....specifically:

-An ACPI driver failed to load....
-An Nvidia driver failed to load.....
-About a billion cpu.inf driver failures.....

Note, I installed the MB drivers from the Asus MB CD.....and ACPI 2.0 is enabled in the bios.

I'm not a power user, but I'm not a newbie either, I've got 2 other decent Asus home built's running just fine around the house, etc.... But, I'm not sure what I should do at this point. I've sent my logs to BFG who's escalating with Nvidia, but the ACPI and CPU driver failures in the ntbtlog screen shots below bother me the most....

To diagnose troubleshooting with shutdown & startup is other section:

Application and Service log>>Microsoft>>Windows>>Diagnostic-Performance:section Operational.

You can also enable additional section in Diagnostic -Performance:

Navigate to View>>enable:Show analitic and debug logs

Now you will see another sections in Diagnostic-Performance : Diagnostic,Diagnostic & Loopback ->right click on these sections and enable them and wait for more time...

Thanks, I will try your suggestions and see what I can find....

Yep, updated to the most recent bios....first thing I did once it came out a few days ago....

I'm convinced there's some disconnect between the OS and the chipset with regard to device power management, just haven't figured out what yet....

I am, if nothing else, tenacious.....we'll find it.
