It should work. It is probably due to some startup program. Maybe your anti virus. Safe mode will take care of problems like that.

My help is limited by what you tell me. Everything that I know and read about this code indicates that the problem is due to two process are trying to access the update at the same time.
Set the windows automatic update to download but not install. Disconnect from the internet, unistall everything but monitor, mouse and keyboard. Try again in safe mode.
It really should work. If it is downloaded already try safe mode with networking and just safe mode.

Be sure to boot after all the uninstalls.
Make sure firewall and anti virus are not the problem. They should be automatically disengaged during safe mode

You dont have SP2? That might be the problem right there. The SPs contain all the prior updates. Go for SP2.

Make a system restore point first.

@Ilikfree My chief concern is the fact that this notice says that the update is for both SP1 and SP2. Its also good for 32 and 64. If it does not install with a Vista SP2, not much more to do.
The error code means a conflict between 2 softwares. I already tried safe mode.

Maybe run pure.ra to remove failed updates and try again after a restart.

A system file check may help.
Go to start search box, type cmd
Hold shift and ctrl and press enter (this will open command prompt in administrator mode aka elevated command prompt)
Type sfc /scannow into the box that opens. Note the space after c
